Terms of Service

Agreement
These terms are between you and Veridem Holdings Inc., a Delaware C-Corporation. By using Stem:Ample you agree to them. If you don't agree, please don't use the service.
What Stem:Ample is
Stem:Ample helps you shape song ideas into written prompts for AI music platforms (such as Suno and Udio). It includes the Session prompt builder, Loop:Seed, Stem:Code (a song-style decoder), Blueprints (saved records of your creative choices), the Locker (export and sync), and Master:Ready (a cleanup and mastering tool for Pro members). We are not affiliated with any AI music platform and aren't responsible for their output, pricing, or terms.
Who can use Stem:Ample
Stem:Ample is intended for people 18 or older. If you are under 18, you may use Stem:Ample only through an account opened and controlled by a parent or legal guardian, with their consent and supervision. A parent or guardian who opens an account for a minor is responsible for everything created, saved, or purchased under that account — including any Pro subscription or Boost Pack charges — and agrees to these Terms on the minor's behalf.
Stem:Ample is not directed to children under 18 and we do not knowingly allow them to create accounts. If you believe someone under 18 has created an account, contact us at hello@getveridem.com and we will work with you to correct or address it.
You must also be able to form a binding legal agreement and not be barred from using our services under applicable law.
Guests and accounts
You can use the prompt builder, Loop:Seed, Blueprints, and the Locker export as a guest. Guest work is saved only in your browser; if it's cleared, we can't recover it. AI features, Stem:Code, cloud sync, and Master:Ready require an account. You're responsible for keeping your login secure and for activity on your account.
Pro plan, credits, and cancellation
- Pro costs $8.99 per month and renews automatically each month until you cancel.
- You can cancel anytime from Pricing → "Manage subscription," which opens Stripe's billing portal. Pro stays active until the end of the period you've paid for.
- The Boost Pack is a one-time $4.99 purchase of 10 AI credits. Credits are used only after your daily AI allowance runs out.
- Daily AI allowances: 3 AI actions per day on the free account, 20 on Pro. They reset at midnight UTC.
- Payments are processed by Stripe. Refund requests are reviewed case by case — email hello@getveridem.com.
- We may change prices with advance notice; changes apply from your next billing period.
Your content
You own what you create with Stem:Ample — prompts, Sessions, Blueprints, Loop:Seeds, Stem:Code results you keep, and your audio. You may use it however you like, including commercially. You give us permission to store and process it only as needed to run the service for you.
AI-generated output
Some features use AI. AI output can be wrong, incomplete, or similar to other people's output, and Stem:Code's style descriptions are estimates, not facts about any recording. Review AI output before relying on it. You're responsible for how you use prompts and the music you make with other platforms, including respecting other artists' rights.
Blueprints and authorship records — not legal advice
Blueprints, proof records, and MHAIX exports document your creative decisions. They are an evidence layer only. They are not legal advice, don't guarantee copyright protection, and are not a substitute for registering with the U.S. Copyright Office. If you use them to support an authorship claim, you're responsible for describing accurately what was made by AI and what you did yourself. For legal questions, talk to a licensed attorney.
Our content
The Stem:Ample name, design, code, and card system belong to Veridem Holdings Inc. You can use the app under these terms, but you can't copy, resell, or rebrand the product.
Acceptable use
- Don't abuse the AI features, get around usage limits, or attack the service.
- Don't use Stem:Ample for anything illegal where you live.
- Don't upload audio you don't have the right to use.
- Don't impersonate Veridem or claim Stem:Ample endorses your work.
Third-party services
Stem:Ample relies on outside services, including Stripe (payments), Google and Apple (optional sign-in), and AI model providers. Their own terms apply to your use of them.
Disclaimers
Stem:Ample is provided "as is" and "as available." We don't promise it will always be available, error-free, or right for a particular purpose. Back up your work with the Locker export.
Limitation of liability
To the fullest extent the law allows, Veridem Holdings Inc. isn't liable for indirect, incidental, or consequential damages, or lost data or profits, from using Stem:Ample. Our total liability is limited to the amount you paid us in the 12 months before the claim.
Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules.
Changes
We may update these terms. We'll change the date above, and for important changes we'll post a notice on the site. Continuing to use Stem:Ample after a change means you accept it.
